The Constitution of the Electoral Reform Society (ERS) consists of two documents the Articles of Association and Memorandum of Association. You can download these documents here in PDF or Microsoft Word format.
Although the organisation is called a Society, it is legally a Limited Company and therefore subject to UK Company Law. The elected members of the Council are the directors of the Society and are responsible for ensuring the society acts within the articles and memorandum of assocation.
